These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you") and Shanghai Ankely Network Technology Co., Ltd. ("we," "us," "our") concerning your use of the ListenIt product and related services ("Service").

Please read these Terms carefully and fully before using the Service. By registering, logging in, using, or accessing the Service in any way, you signify that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please stop using the Service immediately.

1. Service Description

ListenIt is an artificial intelligence (AI) based podcast creation and listening software. We provide a service that converts user-submitted materials such as text content, web page links, PDF or Word documents ("User Content") into podcast audio featuring AI hosts.

2. User Account

Registration and Eligibility: You need to register for a ListenIt account to use our core features. You agree to provide true, accurate, and complete registration information and to keep it updated.

Account Security: You are responsible for safeguarding your account name and password and for all activities that occur under your account. Please notify us immediately of any unauthorized use of your account.

3. User Content and Intellectual Property

Ownership of User Content: You retain full intellectual property rights to all "User Content" you upload or submit to the Service. You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display your "User Content" for the sole purpose of providing the Service to you (including processing, converting, storing, and transmitting your content to generate podcast audio and subtitles).

Ownership of Generated Content: The podcast audio and subtitle files ("Generated Content") created through the Service based on your "User Content" are owned by you. You are free to download, distribute, and use this "Generated Content" on any platform.

Your Responsibility: You warrant that you have the legal right to the "User Content" you submit or have obtained the necessary authorizations, and that it does not infringe upon any third party's copyright, trademark, privacy, or other legal rights. You may not use the Service to process any illegal, defamatory, obscene, hateful, or discriminatory content. You will be solely responsible for any legal disputes arising from your "User Content".

ListenIt's Intellectual Property: The Service itself, including but not limited to the software, website, trademarks, logos, AI models, interface design, and all related technology, is the exclusive property of Shanghai Ankely Network Technology Co., Ltd.. Without our written permission, you may not copy, modify, reverse-engineer, or otherwise attempt to exploit our intellectual property.

4. Acceptable Use

You agree not to engage in any of the following activities:

• Violating any applicable laws or regulations.
• Uploading or transmitting viruses, malware, or any other code that may harm our or our users' systems.
• Attempting to gain unauthorized access to, interfere with, or disrupt the servers, networks, or security systems of the Service.
• Using the Service for any illegal purpose or to promote illegal activities.
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity.

5. Fees and Payment (If Applicable)

We reserve the right to charge for some or all of our services in the future. We will notify you of any fee changes in advance through a website announcement or email. All fees will be clearly listed, and you may choose whether to accept the paid services.

6. Service Modification, Interruption, and Termination

You may also stop using the Service and delete your account at any time.

7. Disclaimer and Limitation of Liability

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be completely uninterrupted, error-free, or that the AI-generated content will be entirely accurate.

To the fullest extent permitted by law, Shanghai Ankely Network Technology Co., Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of or inability to use the Service.

8. Modification of Terms

We may revise these Terms from time to time. When significant changes are made, we will notify you through website announcements or in-app notifications. The revised Terms will become effective upon posting, and your continued use of the Service will be deemed acceptance of the revised Terms.

9. Governing Law and Dispute Resolution

The interpretation, validity, and resolution of disputes related to these Terms shall be governed by the laws of the United States. Any dispute arising from these Terms shall first be resolved through friendly negotiation. If negotiation fails, you agree to submit the dispute to the jurisdiction of a competent court in the United States.
